Tax Optimisation: What Is Legal and What Is Not

    Exemptions, regimes and transaction structure — without schemes or sham transactions

    Checked against the official source:

    On the market, "optimisation" is used to mean two opposite things. The first is using tools expressly provided for by law. The second is schemes that reduce tax by distorting the facts. We work only with the first.

    The difference is practical: legitimate tools survive a tax audit and stay with the company, while schemes are uncovered and turn into additional assessments with late-payment interest and fines.

    Legitimate tools in 2026

    • choice of regime: turnover tax with income of up to UZS 1 billion (Article 461 of the Tax Code) or the general regime with VAT credit;
    • incentives for IT Park residents until 2028, and from 2028 to 2040 when more than 50% of income comes from exports (Article 483);
    • timely VAT adjustment on returns and changes in terms (Article 257);
    • correcting errors before an audit: if the tax and interest are paid before the error is discovered, no penalty applies (Article 82).

    Other legitimate tools

    • Choosing and properly changing the tax regime to fit the actual business model
    • Applying exemptions available for specific types of activity
    • A sound structure for the group of companies and intra-group settlements
    • Documenting transactions so that the tax consequences match their economic substance
    • Applying double tax treaties when dealing with non-residents
    • Using the right to deductions and refunds on time

    What counts as a scheme and how it ends

    Splitting a business without real economic independence of each part, expenses under sham contracts, under-reporting revenue, registering workers as self-employed when the relationship is in fact employment — none of this is optimisation; it is risk.

    Transactions with related parties deserve a separate mention: the related-party test for a shareholding above 20% is set by Articles 37–38 of the Tax Code, and controlled transactions are governed by Articles 180–182. Intra-group prices are checked, and "we agreed it among ourselves" does not work here.

    How the work starts

    • We analyse the actual business model and the current tax burden
    • We calculate how much the company pays and on what grounds
    • We find where overpayments arise from unused exemptions or an unsuitable regime
    • We assess risks in existing transactions — often more important than savings
    • We propose options with a calculation of the effect and what would need to be restructured

    A realistic result

    Savings cannot be promised before the analysis: one company has a reserve in an unused exemption, another has none at all but faces a risk of additional assessment that costs more than any saving. That is why the work starts with a calculation, not with a promised percentage.

    Review your company's tax burden

    We will calculate the current burden, find legitimate reserves and show the risks that cost more than any saving.

    Frequently asked questions

    How much can taxes be reduced?

    The answer only emerges after the analysis. Any figure named in advance is a blind promise, not a calculation.

    Can a company be split up to use a preferential regime?

    Splitting without the real independence of each entity is a classic tax audit claim. If the split reflects the actual structure of the business, it is legitimate; if it was created solely for the regime, the risk is high.

    Can you promise that a solution will withstand a tax audit?

    We propose only solutions based on current law and set out our position in writing with references. No one can promise how the inspector will assess it, but a well-reasoned position is what actually protects the company.

    Can an error be corrected without a fine?

    Yes, if you file an amended return and pay the tax with interest before the tax authority discovers the error (Article 82 of the Tax Code).
