    Checked against the official source:

    Most limited liability companies (LLCs) do not undergo a mandatory audit: an LLC as such is not named in the list in Article 35 of the Law "On Auditing Activity" (ZRU-677). The obligation arises if the LLC meets one of the grounds: a state share in the charter capital, a financial profile (bank, insurer, fund, etc.) or size — two of three conditions for the year.

    Below are the thresholds in soums, examples and what an auditor checks in an LLC.

    When an LLC must be audited

    • An LLC with a state share in its charter capital — of any size (Article 35).
    • An LLC that, for the reporting year, meets two of three conditions (Article 35): assets above 100,000 BCV (44 billion soums at a base calculation value of 440,000 soums), revenue above 200,000 BCV (88 billion soums), average annual headcount above 100 people.
    • An LLC that is a bank, insurance company, investment fund, etc. — by its type of activity (Article 35).
    • An LLC that is a public interest entity (PIE) under Regulation reg. No. 3736: in that case it also needs IFRS financial statements with an audit opinion.

    "Two of three" examples

    • Assets 50 billion soums, revenue 60 billion, 120 employees — two conditions met (assets and headcount): audit is mandatory.
    • Assets 30 billion, revenue 95 billion, 80 employees — only one condition (revenue): audit is not mandatory.
    • Assets 46 billion, revenue 90 billion, 40 employees — two conditions: audit is mandatory.

    Deadlines and consequences

    A copy of the audit opinion is filed with the tax authority within 15 days after the audit, but no later than June 15 of the year following the reporting year (Article 35). Failing to complete the audit by that date counts as evasion: an administrative penalty on the responsible officer, and if the audit is not carried out by year-end, a fine of 100 BCV on the company.

    What is checked specifically in an LLC

    • charter capital: whether each participant paid in their contribution within one year of registration (Article 15 of Law ZRU-1137 on LLCs) and whether shares are recorded correctly;
    • profit distribution, dividends and loans to participants;
    • related-party transactions and their terms;
    • revenue, settlements with the budget, inventories and fixed assets.

    Audit without an obligation

    A voluntary (initiative) audit is commissioned for a bank, a tender, a share deal or at a participant's request: participants holding at least 5% are entitled to commission a voluntary audit (Article 36).
