    State registration of an LLC in Uzbekistan is quick in itself: the application is filed through the Single Portal or a Public Services Centre, registration happens in real time — within 30 minutes — and the state duty is 1 BCV, base calculation value (Regulation approved by Cabinet of Ministers Resolution No. 66; Law on State Duty). Mistakes usually happen before and after it: in the charter, in the choice of tax regime, in the first returns.

    We take over the whole chain — from a charter under the new Law on Limited Liability Companies (ZRU-1137, in force from 22 July 2026) to the first returns filed. Below is what the service includes, the mandatory costs for the founder and the decisions that need to be made in advance.

    What turnkey registration includes

    • advice on structure: one founder or several, shares, contributions in cash or in kind;
    • checking and reserving the company name (the system holds it for 60 calendar days);
    • the charter and, with two or more founders, a founders' agreement under ZRU-1137 in the state language;
    • the decision on incorporation and monetary valuation of non-cash contributions;
    • completing the application form on the portal and supporting the founders' confirmation;
    • choosing a tax regime at registration with a calculation of the tax burden;
    • after registration: bank account, the director's electronic digital signature, accounting policy, first e-invoices and returns.

    Mandatory costs for the founder

    The cost of our work depends on the number of founders, the type of contributions and whether accounting needs to be set up after registration.

    • state duty — 1 BCV (UZS 440,000 from 1 September 2026); when applying independently through the portal — 90%, i.e. UZS 396,000;
    • for enterprises with foreign investment — 1 BCV; for audit and insurance organisations, exchanges, pawnshops and certain others — 4 BCV;
    • charter capital — no general minimum (minimums exist only in licensing requirements); the contribution is made within a year of the registration date.

    Decisions to make before filing

    Tax regime. A new LLC may choose turnover tax from the day of registration by stating this at registration; later — only from the next tax period with 10 days' notice (Art. 462 of the Tax Code). Turnover tax is 4% for legal entities with income up to UZS 1 billion a year instead of 12% VAT and 15% profit tax (Art. 461, 467, 258, 337). It is not available to importers and producers of excisable goods.

    Participants. There may be no more than 50 participants; the sole participant cannot be another single-member LLC (Art. 8 of ZRU-1137). Participants are not liable for the company's debts, but those who have not paid their contribution in full are jointly liable up to the unpaid part (Art. 4).

    Contributions in kind. A non-cash contribution worth more than 10,000 BCV is valued by a valuation firm; the charter and the valuation of contributions are approved by the founders unanimously (Art. 11, 15).

    How the work proceeds

    • Day 1: we discuss the structure and regime and check the name.
    • Days 1–2: we prepare the charter and the decision and agree them with the founders.
    • Day 2: filing on the portal, payment of the duty, registration — within 30 minutes of filing.
    • First week: bank account, electronic digital signature, accounting policy, setting up e-invoicing and the taxpayer's personal account.
    • First month: the first returns — turnover tax by the 15th, VAT by the 20th.

    After registration: accounting from day one

    There is no need to register separately with the tax authority — it does this itself on the basis of the registration data (Art. 129 of the Tax Code). But from the first month the company has obligations: an e-invoice for every sale, monthly returns, salaries not below the minimum wage (UZS 1,360,000 from 1 September 2026) and payment of charter capital within a year. We can keep the books immediately after registration.

    We will register your LLC and set up the accounting

    We will prepare documents under ZRU-1137, carry out the registration and take over the bookkeeping from the first month.

    Frequently asked questions

    How much does it cost to register an LLC?

    The mandatory cost is the state duty of 1 BCV (UZS 440,000; via the portal — UZS 396,000). There is no general minimum charter capital. The cost of our support depends on the founders and contributions.

    How many days does registration take?

    Registration itself happens in real time, within 30 minutes of filing. Including preparation of documents and agreement with the founders, it usually takes 1–2 working days.

    Does a foreign founder need to travel to Uzbekistan?

    Foreign founders sign the application with an electronic digital signature. We will clarify the procedure for your situation during the consultation.

    Can turnover tax be chosen straight away?

    Yes, at registration — it then applies from the day of registration (Art. 462 of the Tax Code). The regime is not available to importers and producers of excisable goods (Art. 461).
