    Updated:

Legal services for a company are not abstract "legal assistance" but a set of very specific tasks: reviewing a contract before signing, documenting a transaction, taking a position in an inspection, a dispute with a counterparty. How precisely you understand which service you need determines both the result and the budget.

We look at what this field consists of in the practice of businesses in Uzbekistan, how legal fees are set and when a legal question cannot be resolved without an accounting and tax specialist.

What legal services for a company consist of

Broadly, the whole practice falls into three blocks: preventive, operational and defensive. Preventive work is when the lawyer is involved before anything goes wrong: reviewing a contract, structuring a deal, setting up document flow.

The operational block is day-to-day support: standard forms, HR documents, correspondence with counterparties and government bodies. The value here lies in speed and in decisions being made consistently.

The defensive block kicks in once a dispute has arisen: claims, disagreements following inspections, debt recovery. It is the most expensive — and its scope would almost always be smaller with proper preventive work.

    • legal review of contracts and drafting
    • support for transactions and corporate changes
    • HR and internal document flow
    • support during inspections and handling of demands
    • claims work and debt recovery

When a business needs a legal service and how the work is structured

A practical marker is the cost of a mistake. If inaccurate wording could cost the company an amount comparable to a month's revenue, the document should go through a lawyer, even if it looks standard.

The second marker is novelty. The first export contract, the first major contractor, the first deal involving a share in charter capital: where the company has no established practice, the risk is greatest.

The third is the involvement of a government body. A demand, a request, an inspection report — such documents are answered not in free form but with an understanding of the consequences of every word.

There is another side too: not every task needs a lawyer. Some questions are resolved with properly prepared source documents or a clarification of the accounting policy, and a conscientious consultant will say so directly rather than turn a routine matter into a project.

Every legal service starts with the facts. The specialist reconstructs the timeline, reads the documents as they actually exist and separates what is supported by paperwork from what the parties remember differently.

Next comes the legal characterisation: which legal construct the situation falls under and what consequences follow. At this stage it often turns out that the task was framed inaccurately — for example, a dispute about quality turns out to be a dispute about acceptance.

Only then does a plan emerge: which documents to prepare, in what order and what result is reasonable to expect. Skipping any of these steps produces a well-written but useless document.

Legal fees: how they are set

A price list for legal services is rarely rigid, and that is not a trick. The fee is determined by the volume of documents, the complexity of the question and the engagement format: a one-off task, a project or ongoing support.

Three models are commonly used. A fixed fee suits clear tasks with a predictable scope; hourly billing suits research work and disputes; a retainer suits companies that need constant access to a specialist.

We do not publish specific figures in reference materials: quoting an amount before understanding the task means either overstating it or revising it later. We give an indication after a short review of your situation.

    • a fixed fee for a task with a clear scope
    • hourly billing for disputes and research work
    • a retainer for recurring questions
    • a project estimate for transactions and major changes

Online legal services: when the format works

Most work with documents does not require personal presence: contracts, letters and opinions are discussed and agreed remotely. Online legal services save time, especially if the company is located outside the capital.

There are limitations too. Tasks that require original documents, signatures or personal participation still need an in-person stage — but the preparation for it can be done remotely.

A sensible approach is to combine the two: discussion and review online, documentation and signing in person when necessary.

Why legal services and taxes cannot be separated

In corporate practice, law and taxation are intertwined. The wording of the subject of a contract affects the recognition of expenses, the way a transaction is documented affects its tax consequences, and how a transaction is supported by documents often becomes the main argument in a dispute.

The requirements in these matters are set by tax legislation, which is updated periodically; the current provisions should always be checked at the time a decision is made. That is precisely why we do not offer ready-made universal schemes.

A firm where the lawyer and the tax specialist work in one team closes the question in full: both the legal structure and its accounting treatment.

How to choose a provider and avoid mistakes

Look not at the breadth of the services listed on the website but at the specialisation of the practice. A firm that deals with financial statements and business inspections every day understands the context of your question better than a generalist.

Pay attention to how you are spoken to at the first contact. A specialist who names a price and promises a result straight away, without studying the documents, is a warning sign.

And third: ask what exactly you will receive at the end. A document, an opinion, support until the result is achieved — the description should be specific.

    Frequently asked questions

Which legal services do businesses need most often?

Review and drafting of contracts, transaction support, HR document flow, dealing with demands from government bodies and claims work. The mix depends on the industry and the company's stage: growing businesses mostly need contracts, mature ones support with inspections and disputes.

Why are there no legal fees on the website?

The fee depends on the volume of documents, the complexity of the question and the engagement format. Quoting an amount before understanding the task would mean either overstating it or revising it later. We give an indication after a short review of the situation.

Can legal services be obtained online?

Yes, work with documents, discussions and preparation of opinions are carried out remotely. An in-person stage is needed where originals, signatures or personal presence are required, but the preparation for it can be done remotely.

How is an audit firm more useful than an ordinary lawyer?

It sees the legal question together with its tax and accounting consequences. The wording of a contract affects the recognition of expenses, and the way a transaction is documented affects your position in an inspection, so it makes sense to deal with these together.

Do you offer ongoing support on a retainer?

Yes, for companies with recurring questions it is the most convenient format: constant access to a specialist and consistent decisions. We set the scope and terms after discussing the company's needs.
